1. Acceptance of Terms

By accessing or using Sanvia, you agree to be bound by these Terms of Service and our Privacy Policy. If you don't agree, please don't use our service.

2. Service Description

Sanvia provides sales forecasting software using machine learning models. Our service includes:

  • Data upload and processing
  • Multiple forecasting models (LightGBM, Prophet, SARIMAX, Theta-GAM)
  • External economic indicators
  • Forecast visualization and export

3. User Accounts

3.1 Account Creation

  • You must provide accurate information
  • You're responsible for maintaining account security
  • One person per account (no sharing)
  • Must be 16+ years old

3.2 Account Termination

We may suspend or terminate accounts for violations of these terms, non-payment, or fraudulent activity.

4. Acceptable Use

You agree NOT to:

  • Reverse engineer or copy our models/algorithms
  • Use the service for illegal purposes
  • Upload malware or malicious code
  • Attempt to access other users' data
  • Overload our systems (rate limits apply)
  • Resell or redistribute our service
  • Scrape or automatically download data

5. Data Ownership & License

5.1 Your Data

You retain all ownership rights to data you upload. You grant us a limited license to process your data solely to provide the service.

5.2 Our Platform

We retain all rights to our models, algorithms, and platform. Forecasts generated belong to you, but the underlying technology remains ours.

6. Pricing & Payment

  • 14-day free trial
  • Subscription fees are non-refundable
  • Prices may change with 30 days' notice
  • Automatic renewal unless cancelled
  • Taxes added where applicable

7. Refund Policy

7.1 Free Trial

We offer a 14-day free trial. We encourage you to test all features during this period to ensure our service meets your needs.

7.2 Monthly Subscriptions

No refunds are provided for monthly subscriptions. You may cancel your subscription at any time, and you will retain access until the end of your current billing period.

7.3 Exceptions

Refunds may be issued at our discretion in the following circumstances:

  • Technical issues preventing you from using the service for an extended period
  • Billing errors or duplicate charges
  • Service did not function as advertised
  • Unauthorized charges on your account

7.4 Cancellation Policy

You may cancel your subscription at any time through your account settings or the billing portal. Cancellations take effect at the end of the current billing period. No partial refunds are provided for mid-cycle cancellations.

7.5 Chargebacks

If you file a chargeback or payment dispute without contacting us first, we reserve the right to immediately terminate your account and ban you from future use of our services. Please contact support@sanvia.ai to resolve any billing issues.

7.6 EU Consumer Rights

If you are a consumer in the European Union, you have the right to withdraw from this agreement within 14 days of purchase without giving any reason. However, by using the service during this period, you expressly agree that we begin performance immediately and acknowledge that you lose your right of withdrawal once the service has been fully performed.

8. Service Availability

We strive for 99.9% uptime but don't guarantee uninterrupted service. We're not liable for downtime, maintenance, or technical issues.

9. Disclaimers & Limitations

  • No Guarantee of Accuracy: Forecasts are predictions, not guarantees
  • Past Performance: Historical accuracy doesn't guarantee future results
  • Business Decisions: You're solely responsible for decisions based on forecasts
  • Data Quality: Output quality depends on input data quality
  • External Events: Models can't predict unforeseen events

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We're not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to fees paid in the last 12 months
  • We're not liable for lost profits, data loss, or business interruption

11. Indemnification

You agree to indemnify us against claims arising from your use of the service, violation of terms, or infringement of third-party rights.

12. Governing Law

These terms are governed by Slovenian law. Disputes will be resolved in Slovenian courts.

13. Changes to Terms

We may update these terms with 30 days' notice. Continued use after changes constitutes acceptance.

14. Security & Data Breaches

14.1 Security Measures

We implement industry-standard security measures to protect your data, including encryption in transit and at rest, secure authentication, and regular security assessments. However, no system is completely secure, and we cannot guarantee absolute security.

14.2 No Guarantee Against Breaches

YOU ACKNOWLEDGE THAT:

  • No data transmission or storage system is 100% secure
  • We are not liable for unauthorized access, hacking, data breaches, or cyber attacks despite our reasonable security measures
  • We are not liable for data loss, corruption, or theft caused by third parties, malicious actors, or circumstances beyond our reasonable control
  • You use the service at your own risk regarding data security

14.3 Breach Notification

In the event of a data breach affecting your personal data, we will notify you in accordance with applicable law (including GDPR Article 33/34 where applicable). Such notification does not constitute admission of fault or liability.

14.4 Your Security Responsibilities

You are responsible for:

  • Maintaining the security of your account credentials
  • Using strong, unique passwords
  • Enabling available security features
  • Notifying us immediately of any suspected unauthorized access
  • Ensuring your own systems and networks are secure

14.5 Limitation on Security Claims

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL LIABILITY FOR:

  • Unauthorized access to your account due to compromised credentials
  • Data breaches resulting from vulnerabilities in third-party services
  • Losses resulting from your failure to implement reasonable security practices
  • Cyber attacks, ransomware, phishing, or social engineering attacks
  • Government or law enforcement access to data pursuant to legal process

15. Third-Party Services & External Data

15.1 Third-Party Dependencies

Our service relies on third-party providers including but not limited to:

  • Cloud infrastructure and hosting providers
  • Authentication services
  • Payment processors (Stripe)
  • External data providers (economic indicators, World Bank, central banks)

15.2 Third-Party Disclaimer

WE ARE NOT LIABLE FOR:

  • Failures, outages, or errors of third-party services
  • Accuracy, completeness, or timeliness of external data sources
  • Changes to third-party APIs or data availability
  • Third-party security breaches affecting our service
  • Decisions made based on external economic indicators

15.3 External Data Accuracy

Economic indicators and external features are provided "as is" from public sources. We do not verify, guarantee, or warrant their accuracy. You acknowledge that external data may be delayed, revised, or incorrect.

16. Force Majeure

We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, acts of God, or extreme weather
  • Pandemics, epidemics, or public health emergencies
  • War, terrorism, civil unrest, or government actions
  • Cyber attacks, DDoS attacks, or widespread internet outages
  • Power grid failures or telecommunications failures
  • Third-party service provider failures
  • Changes in law or regulation
  • Labor disputes or strikes

During such events, our obligations are suspended. If the event continues for more than 60 days, either party may terminate the agreement.

17. Service Modifications & Discontinuation

17.1 Right to Modify

We reserve the right to, at any time and without liability:

  • Modify, update, or discontinue any feature or functionality
  • Change, replace, or remove forecasting models
  • Update algorithms, parameters, or methodologies
  • Modify API endpoints or integrations
  • Change usage limits or restrictions

17.2 Discontinuation

We may discontinue the service entirely with 30 days' notice. In such case, we will provide pro-rata refunds for prepaid unused subscription periods.

17.3 No Reliance on Specific Features

You agree not to rely on the continued availability of any specific feature, model, or functionality. We make no commitment to maintain backward compatibility.

18. Dispute Resolution

18.1 Informal Resolution First

Before initiating any legal proceeding, you must contact us at support@sanvia.ai and attempt to resolve the dispute informally for at least 30 days.

18.2 Arbitration Agreement

If informal resolution fails, any dispute shall be resolved by binding arbitration in Ljubljana, Slovenia, rather than in court, except that either party may seek injunctive relief in court for intellectual property violations or unauthorized access.

18.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. This waiver applies to the maximum extent permitted by applicable law.

18.4 Time Limit on Claims

Any claim must be filed within one (1) year after the cause of action arises, or be permanently barred.

19. Beta Features

We may offer beta or experimental features. These are provided "AS IS" without any warranty. We may discontinue beta features at any time without notice. Beta features may have additional bugs, errors, or security vulnerabilities.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Sanvia regarding the service. These Terms supersede all prior agreements, representations, and understandings, whether written or oral.

22. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us to be effective.

23. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

24. Survival

The following sections survive termination of these Terms: Data Ownership & License, Disclaimers & Limitations, Limitation of Liability, Indemnification, Security & Data Breaches, Dispute Resolution, and any other provisions that by their nature should survive.

We may provide notices to you via:

  • Email to the address associated with your account
  • In-app notifications
  • Posting on our website

You are responsible for keeping your email address current.

26. Export Compliance

You agree to comply with all applicable export and import laws. You represent that you are not located in a sanctioned country or on any government restricted party list.
